3. Client Responsibilities

By using our services, you agree to:

• Provide accurate and up-to-date information required for business setup and marketplace compliance.

• Comply with all applicable e-commerce platform policies, terms of service, and legal requirements.

• Acknowledge that e-commerce performance varies and that Residual Ecom does not control third-party marketplace decisions, supplier actions, or consumer demand.

• Maintain full ownership and financial responsibility for your e-commerce business, including tax obligations, marketplace account management, and any liabilities incurred.

• Avoid unauthorized resale, disclosure, or distribution of Residual Ecom’s proprietary methods, systems, or intellectual property.

4. Payment Terms & Refund Policy

• Setup Fees: Clients must pay a non-refundable onboarding fee before services begin.

• Management Fees: Ongoing monthly service fees apply based on the selected package and are non-refundable.

• Revenue Share: Residual Ecom collects a percentage of store revenue as outlined in the client agreement. The revenue share percentage is not contingent on profitability and applies to gross sales, not net profit.

• Refunds: All fees, including onboarding, management, and revenue share fees, are non-refundable.

• Late Payments: Failure to pay on time may result in suspension of services, additional late fees, or termination of the agreement. Clients remain responsible for any outstanding balances.

5. Risk Acknowledgment & Disclaimers

E-commerce involves risks, including but not limited to:

• Market fluctuations and changes in consumer demand

• Policy updates and enforcement actions by third-party marketplaces

• Supply chain delays, supplier disputes, and logistical disruptions

• Platform account suspensions or terminations

Residual Ecom does not guarantee revenue, profitability, or any specific financial outcomes. By using our services, you acknowledge that past performance does not guarantee future success, and you assume full responsibility for all risks associated with running an online business.

Residual Ecom does not engage in prohibited drop shipping practices and does not facilitate the resale of products sourced from unauthorized third-party retailers in violation of

6. Prohibited Uses

Clients may not use Residual Ecom’s services for:

• Fraudulent or deceptive business practices.

• Selling restricted or prohibited items on marketplaces.

• Violating Amazon, Walmart, eBay or any other e-commerce platform policies.

• Sharing or reselling our proprietary methods and strategies.

7. Intellectual Property Rights

• Residual Ecom retains ownership of all proprietary business processes, training materials, and branding assets.

• Clients may not copy, distribute, or resell our intellectual property.

8. Dispute Resolution

Arbitration: Any disputes arising under these Terms shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) in the State of Florida. By agreeing to these Terms, you waive the right to bring a lawsuit in court and the right to participate in any class action claim.

Governing Law: These Terms shall be governed by and construed in accordance with the laws of Florida, without regard to conflict of law principles.
